ARTICLE 1: NAME & OBJECTIVES

1.1
The Federation of Engineering Institutions of Islamic Countries, hereinafter called the FEIIC, is an international non-profit professional organisation. Its Executive Board or Secretariat shall be located at a location to determined by the General Assembly.

1.2
The objectives of the FEIIC are:

• 1.2.1 to reassess and highlight the contributions of Muslims towards strengthening the Ummah,
• 1.2.2 to cooperate, integrate and exchange information by establishing global linkages and networks,
• 1.2.3 to encourage and facilitate the movement of engineers and engineering students among Islamic countries,
• 1.2.4 to assist human resource development in the field of engineering,
• 1.2.5 to encourage the establishment of national and regional engineering bodies in Islamic countries,
• 1.2.6 to promote continuing education and training in engineering,
• 1.2.7 to motivate engineers to work towards the social and economic developments in Islamic countries,
• 1.2.8 to promote cooperation with Islamic governments and international institutions,
• 1.2.9 to develop leading-edge technologies and industries,
• 1.2.10 to formulate resource and environmental management strategies.

ARTICLE 2: ORGANISATION

2.1
The organisation of the FEIIC shall consist of:

• 2.1.1 Members
• 2.1.2 General Assembly
• 2.1.3 Council
• 2.1.4 Executive Board
• 2.1.5 Regional Offices
• 2.1.6 Working Committees, Groups and Task Forces

2.2
The supreme governing body of the FEIIC shall be the General Assembly and the affairs of the FEIIC shall be administered by the Council in accordance with the policies laid by the General Assembly.

ARTICLE 3: MEMBERS

3.1
Members of the Federation shall consist of:

• 3.1.1 Honorary Fellows
• 3.1.2 National Members
• 3.1.3 Corporate Members
• 3.1.4 Institutional Members
• 3.1.5 Associate Members
• 3.1.6 Individual Members

3.2
The General Assembly may, on the recommendation of the Council, appoint as Honorary Fellow a person who has made a significant contribution to the objectives of the FEIIC. Appointment as Honorary Fellow does not thereby confer on the person appointed any right nor impose on him any obligation.

3.3
National Members are the national professional engineering organisations of the Islamic countries. Where there are no appropriate institutions, the professional organization that is also responsible for the engineering fraternity can be considered.

3.4
The FEIIC shall have one National Member from each country and this shall be the major Institution of Engineers in that country. If there are several organisations of equal status, only one body in the form of a group of officially designated national committee and accepted by these organisations, shall be admitted as a National Member.

3.5
Differences in opinion on the composition and matters pertaining to the national committee (mentioned in Article 3.4) shall be resolved by the Council and approved by the General Assembly.

3.6
Corporate Members are engineering companies, consultants and contractors.

3.7
Institutional Members are higher education institutions, research and development organisations, associations and other related bodies at national level involved with engineering practices or related activities.

3.8
Associate Members are international or regional organisations and bodies involved directly or indirectly in engineering but interested in supporting the objectives of the FEIIC.

3.9
Individual Members are persons working in the field of engineering, and having a degree in engineering or its equivalence.

ARTICLE 4: ADMISSION TO THE FEIIC

4.1
The Council shall examine new application for National membership of the FEIIC and make recommendation to the General Assembly. Approval of the membership requires a simple majority of eligible voting members present at the General Assembly.

4.2
The Executive Board may upon consultation with the Council, issue postal ballot to eligible voters for the approval of membership. A simple majority of the returned postal ballot is required for the approval of membership.

4.3
Approval of the Corporate, Institutional, Associate and Individual memberships is at the discretion of the President or the Secretary General, if the President is not available, upon consultation with the respective National Member or the Council.

ARTICLE 5: RESIGNATION & TERMINATION OF MEMBERSHIP

5.1
A member wishing to resign from the FEIIC shall give six month notice of resignation in writing, addressed to the Secretary General.

5.2
The General Assembly may, by a two-third majority of National Members eligible to vote, decide to terminate the membership of any Member who has failed to fulfil its obligations to the FEIIC or has engaged in activities which run counter to the objectives of the FEIIC.

ARTICLE 6: GENERAL ASSEMBLY

6.1
The General Assembly shall consist of the President, Deputy President, Vice Presidents, Secretary General and three nominated representatives of each National Member, one representative of each Corporate, Institutional and Associate Members. In the event that a representative member is unable to attend the General Assembly, a written proxy shall be accepted.

6.2
Representatives of one-fourth of National Members shall constitute a quorum.

6.3
In any meeting of the General Assembly, each National Member shall be entitled to only one (1) vote. Corporate, Institutional, Associate and Professional Members are not eligible to vote. Every member of the Council shall have no right to vote except on those occasions when authorised to vote on behalf of a National Member. At meetings of the General Assembly, decisions shall be made by a simple majority vote of National Members present except otherwise specified in this constitution.

6.4
Any National Member who has not paid its annual fees by the due date in accordance with Article 11, para 11.4, shall not be entitled to exercise or benefit from any right or privilege of membership until the dues have been paid.

6.5
The General Assembly shall:

• 6.5.1 Elect a Council for the ensuing two year period,
• 6.5.2 Appoint any Working Committee that is deemed necessary for the conduct and administration of the work of the FEIIC,
• 6.5.3 review the work carried out by the Working Committees, Groups or Task Forces of the FEIIC,
• 6.5.4 on the recommendation of the Council, determine the amount of annual dues from members,
• 6.5.5 examine and approve the FEIIC account,
• 6.5.6 at the request of the Council, examine proposed amendments to the Constitution and to adopt those it approves,
• 6.5.7 deal with such other matters as may be put before it,
• 6.5.8 to terminate the membership, if it is so decided, on the recommendation of the Council in accordance with Article 5, para 5.2.

6.6
The General Assembly shall hold an ordinary meeting once every two years. The venue of the ordinary meetings shall be rotated among member countries. The ordinary meetings of the General Assembly shall be convened by the Council.

ARTICLE 7: COUNCIL

7.1
The Council shall consist of:

• 7.1.1 President
• 7.1.2 Deputy President
• 7.1.3 three (3) Vice Presidents
• 7.1.4 Secretary General
• 7.1.5 five (5) Ordinary Council Members

7.2
The President, Deputy President, Vice Presidents and Ordinary Council Members shall be representatives from different member countries of the FEIIC.

7.3
The representatives of the National Members who shall be elected in their personal capacities to the Council shall hold office until the end of the following ordinary meeting of the General Assembly.

7.4
The President of the FEIIC shall be the Chairman of the Council.

7.5
In the interest of continuity it is desirable the office-bearers shall hold office until the end of the next ordinary meeting of the General Assembly. In exceptional circumstances, where the elected member is no longer able to serve the Council effectively the National Member concerned may recommend a replacement for the consideration and acceptance of the Council.

7.6
The Council shall submit to all Members preferably two months in advance of the General Assembly nominations received from National Members for the offices of the President, Deputy President, Vice Presidents, and the other ordinary members of the Council. The Secretary General shall make adequate and appropriate arrangements for the calling of nomination.

7.7
At the meetings of the Council, decisions shall be made by a simple majority vote of the members present. Each member of the Council present shall have one vote, and if there is a tie, the Chairman shall have the casting vote. Five voting members of the Council shall constitute a quorum. In the event that a member of the Council is unable to attend a meeting, he/she may be represented by his/her proxy.

7.8
The Council shall meet during each ordinary meeting of the General Assembly or at least once a year.

7.9
A Special Meeting of the Council may be called by the President when requested by at least five (5) members of the Council.

7.10
Responsibility for transacting urgent business of the FEIIC shall be vested in the President or his deputy and the Secretary General. All decisions shall be reported for approval at the next Council meeting.

7.11
At the discretion of the President, matters deemed urgent may be decided by circulation among members of the Council.

7.12
Any casual vacancy arising in the position of Deputy President, Vice President and Ordinary Council Member may be filled, on the decision of the President, for the remaining period of the terms of office. Casual vacancy of the post of Secretary General shall be filled by the decision of the Council.

7.13
The Council shall have the power to create specific Committees, Groups and Task Forces in furtherance of the objectives of the FEIIC subject to the approval of the General Assembly in its next meeting.

7.14
The Council shall monitor the progress of activities of Committees, Groups and Task Forces of the FEIIC and may advise them for their effective functioning.

7.15
The Council shall have the power to accept unconditional donations from any sources for the FEIIC funds.

7.16
Council members may be removed by a simple majority vote upon two consecutive absences from Council meetings without sending proxies.

ARTICLE 8: PRESIDENT, DEPUTY PRESIDENT, VICE PRESIDENTS

8.1
The President, Deputy President and Vice Presidents of the FEIIC shall be elected by the General Assembly and shall hold office until the end of the next ordinary meeting of the General Assembly

8.2
The President of the FEIIC shall have among others the following duties and responsibilities:

• 8.2.1 chair all meetings of the Council and the General Assembly,
• 8.2.2 direct the implementation of all policies adopted by the General Assembly and the Council,
• 8.2.3 represent the FEIIC at functions,
• 8.2.4 perform such other duties and functions as may be assigned by the General Assembly and the Council,
• 8.2.5 lead in policy making and resolving important issues,
• 8.2.6 advise/direct the Secretary General for certain task performance and invite reports/advice from Working Committees, Groups or Task Forces of the FEIIC on the progress of activities.

8.3
The Deputy President and Vice President in the order of heirachy shall assist the President and in the event of the latter’s absence or inability, shall undertake the functions of the President, and shall assume the role of the President upon its vacancy.

8.4
The Deputy President shall be responsible for the development of FEIIC and its finance.

8.5
The Vice Presidents shall be responsible for the coordination of projects, membership and welfare, and external affairs

ARTICLE 9: SECRETARY GENERAL

9.1
The Secretary General shall be elected by the General Assembly on a proposal by the Council and shall hold office for two (2) years or for such times as the Council shall determine.

9.2
The Secretary General shall keep Members informed of important proposals, decisions and actions of the Council. He shall also arrange for a record of the proceedings of the Council meetings including statement of accounts to be communicated to each Member of the FEIIC at least two months before the ordinary meeting of the General Assembly.

9.3
The Secretary General is the chief executive officer of the FEIIC, and shall be responsible for the administration and supervision of the Executive Board and shall carry out such duties as are necessary to execute and foster the objectives, policies and instructions of the FEIIC including:

• 9.3.1 organising and managing meetings of the FEIIC,
• 9.3.2 implementing the decisions of meetings of the FEIIC,
• 9.3.3 preparing the draft budget of the FEIIC,
• 9.3.4 compiling and disseminating appropriate information,
• 9.3.5 preparing and issuing publications,
• 9.3.6 assisting Members in obtaining information,
• 9.3.7 administering the property and the funds of the FEIIC,
• 9.3.8 keeping members informed of important proposals, decisions and actions of the Council and of any action taken by officers,
• 9.3.9 keeping in constant contact with UN Agencies and other organizations interested in seeking the assistance of the FEIIC for implementation of specific projects or for undertaking special studies in furtherance of the FEIIC objectives,
• 9.3.10 monitoring the Regional Offices
• 9.3.11 performing such other duties as directed by the President, Council and General Assembly.

9.4
At the end of his term of office the Secretary General shall, without delay, hand over all documents, records, accounts and all other properties belonging to the FEIIC to the incoming Secretary General.

ARTICLE 10: EXECUTIVE BOARD AND REGIONAL OFFICE

10.1
The FEIIC shall have an Executive Board headed by the Secretary General in the Secretary General’s home country.

10.2
Regional offices whose functions are to facilitate the Executive Board may be established and its location and officer in charge shall be determined by the Secretary General.

ARTICLE 11: FINANCE

11.1
The resources of the FEIIC shall be derived from:

• 11.1.1 annual fees paid by Members,
• 11.1.2 contributions from other sources,
• 11.1.3 income from activities.

11.2
The amount of annual fees due from Members shall be determined by the General Assembly.

11.3
The financial year shall begin on the 1st January.

11.4
The payment of annual fees from Members for any financial year shall be made not later than the 31st March.

11.5
In the event of any resignation or termination of membership, the party concerned shall be liable to pay its fees for the current financial year and outstanding dues, and shall have no claim on the monies of the FEIIC or any part thereof.

ARTICLE 12: ADOPTION AND AMMENDMENT OF THE CONSTITUTION

12.1
Upon its approval at the General Assembly this Constitution shall come into force.

12.2
No change shall be made to this Constitution except by the General Assembly with the approval of a majority of two-third of all National Members entitled to vote.

ARTICLE 13: DISSOLUTION OF FEIIC

13.1
The General Assembly if convened for the purpose may dissolve the FEIIC by a vote pursuant to Article 12, para 12.2. In the event of the dissolution of the FEIIC for any reason the General Assembly shall decide and designate the recipient or recipients of the residue of the monies of the FEIIC.

ARTICLE 14: WORKING COMMITTEES, GROUPS AND TASK FORCES

14.1
The General Assembly or Council may form a Working Committee, Group or Task Force when deemed necessary.

14.2
The General Assembly or Council shall appoint the Chairman and the members of the Working Committee, Group or Task Force.

14.3
The Chairman shall have the prerogative to appoint additional members.

14.4
The Secretariat for the Working Committee, Group or Task Force shall be in the country of the Chairman and shall be the responsibility of the respective Member country.

14.5
The Working Committee, Group or Task Force shall report on progress to the Secretary General.

14.6
In the event of resignation or termination of the Chairman, the Council shall appoint a replacement.

14.7
The President, assisted by the Secretary General may appoint Task Forces for carrying out specific projects subject to the approval of the Council in its next meeting.

ARTICLE 15: INTERPRETATION OF THE CONSTITUTION

15.1
The General Assembly’s decisions shall be final and binding on all matters pertaining to the interpretation of the Constitution.

ARTICLE 16: LANGUAGE

16.1
The official language of the FEIIC shall be English.

Biannual General Assembly

The FEIIC General Assembly is held biannually in different member countries.

General Assembly

1. Annual Council Meeting

Council meetings are held at least annually; at times together with the General Assembly whenever it is held. Recent Council Meetings were in Lahore (Pakistan), Amman (Jordan), Kuching (Malaysia), Teheran (Iran), Almaty (Kazakhstan) and Kuala Lumpur (Malaysia).
